Direct Counsel is representing an Am Law 100 firm seeking an experienced M&A Associate Attorney to join its Corporate Practice Group in the Miami office. This position offers a dynamic opportunity to work on sophisticated public and private M&A and private equity transactions, serving clients across a wide range of industries nationwide.

Mergers & Acquisitions Associate Attorney

Key Responsibilities:

  • Represent buyers, sellers, and private equity firms in high-value domestic and cross-border M&A transactions.

  • Draft and negotiate acquisition agreements, investment documents, and supporting corporate documentation.

  • Lead and coordinate due diligence processes and manage legal teams throughout deal lifecycle.

  • Advise on corporate governance, compliance, and general corporate matters.

  • Collaborate with cross-practice teams and assist in mentoring junior associates.

Requirements:

  • Minimum of 4 years of experience with public and private M&A transactions, including private equity.

  • Deep familiarity with acquisition agreements and M&A deal structures.

  • Excellent drafting skills, academic credentials, and professional judgment.

  • Strong interpersonal skills and ability to handle high-volume, fast-paced workload.

  • Experience leading due diligence teams and transaction management from inception to close.

  • General corporate and corporate governance experience is a plus.

  • Must be admitted to the Florida Bar or eligible for admission.
